Lewes FC is offering the opportunity to invest in Football Done Better. Our club will always be community owned but direct investment is required to ensure Lewes FC can compete in a changing football landscape.

We are in consultation around the prospect of launching Lewes Football Club Holdings Ltd, a new entity that will operate our Women’s and Men’s football teams, and sit below Lewes Community Football Club (LCFC).

Lewes FC was brought into community ownership in 2010 and launched Equality FC in 2017. As we celebrate our 140th birthday, we’re offering our owners the chance to invest in Lewes FC’s future for decades to come.

We are a very special football club. We are embedded within our community and offer a safe space for people to come together. Our groundbreaking equality stance has helped us deliver impact far beyond England’s football pyramid.

Who can invest?

This investment opportunity is open exclusively to our club and community owners.

Lewes FC has more than 2,500 owners around the world, who each have equal voting rights for decisions made by Lewes Community Football Club. From the USA and Canada to Australia, Japan, and South Africa – we have owners all over the globe!

Proposal Overview

The proposal is to create a new investment entity called Lewes Football Club Holdings Ltd. that sits below Lewes Community Football Club (LCFC). Owners can invest directly into the club via Lewes Football Club Holdings Ltd. and help us become a sustainable football club that invests back into its community.

The board plans to continue moving forward with the process, refining details and inviting interested investors for further discussions. All feedback is welcome. The board has refined the governance and investment proposals whilst continuing discussions with the FCA through the FSA.A working group will finalise the governance model and board composition process, ensuring alignment with our community values and operational requirements. The board will be finalising and sharing the prospectus to ensure transparency in the investment process.

Offer Summary

Lewes FC is inviting owners to invest between £500 and £250,000 into Lewes Football Club Holdings Ltd, a new entity that will operate the two football teams and sit below Lewes Community Football Club (LCFC).We are looking to raise between £150,000 and £1.5m directly from our ownership. This represents between 2% and 20% minority interest in the new entity. LCFC, and therefore our owners, maintains majority control of the club.

Why are you seeking investment?
Lewes FC is seeking investment to achieve financial stability and continuity long into the future. Our investment model aims to be generative while enhancing the player, staff and volunteer welfare, matchday experiences, and our wider impact on the world.

Doesn’t the current club ownership model achieve financial stability?
Income from our current club model totals roughly 8% of annual club revenue. While the ownership model is crucial for ensuring good governance and protecting the club against single ownership, it alone cannot financially sustain the club.

Does this investment model affect my ownership shares of Lewes Community Football Club?
No. Lewes Community Football Club remains the majority shareholder in Lewes FC and therefore our owners maintain their majority holding.

Will I still get to vote as a Lewes FC owner?
Yes. Lewes FC owners will continue to vote on vital aspects of the club and our community.

Will investors get a return?
There is always risk associated with investment and Lewes FC is no different. There are various ways investors could obtain a return, which range from improving our community club, delivering greater impact in football and society, bettering our facilities for fans, players, staff, and volunteers, and financial returns (in the long term).

Will Lewes FC’s governance model change?
Yes and no. Governance of Lewes Community Football Club will remain the same, with 10 elected board members and the possibility of up to four co-opted directors. Lewes FC Holdings Ltd. will have its own board, the make-up of which will be determined after work with and consultation from a working group to oversee its formation.
